THE AGREEMENT TO ARBITRATE REQUIRES (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION, AND FURTHER (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST INFINIPAYS ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW.
1. Access and Use of the Service
Services Description:
The Service is designed to provide a comprehensive suite of tools for business management that facilitates booking, invoicing, communication, and project management among businesses using the Service ("Businesses"), their clients ("Clients"), and Clients' various other vendors ("Vendors"). In some instances, a Business may also act as a Client of a Vendor. InfiniPays may connect Clients to Businesses and/or Vendors for the purpose of purchasing goods and/or services. Businesses may use the Service to find and book Vendors, manage their Clients, and send invoices. Clients may use the service to find, hire, and work with various Businesses and Vendors. Vendors and Businesses may use the Service to promote and provide their goods and services to Clients.
Your Registration Obligations:
You are required to register with InfiniPays in order to access and use certain features of the Service. If you choose to register for the Service, you agree to provide and maintain true, accurate, current, and complete information about yourself as prompted by the Service's registration form. Registration data and certain other information about you are governed by our Privacy Policy. If you are under 13 years of age, you are not authorized to use the Service, with or without registering. Additionally, if you are under 18 years old, you may use the Service, with or without registering, only with the approval of your parent or guardian.
Member Account, Password, and Security:
You are responsible for maintaining the confidentiality of your password and account, if any, and are fully responsible for any and all activities that occur under your password or account. You agree to (a) immediately notify InfiniPays of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session when accessing the Service. InfiniPays will not be liable for any loss or damage arising from your failure to comply with this section.
Modifications to Service:
InfiniPays reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that InfiniPays will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
General Practices Regarding Use and Storage:
You acknowledge that InfiniPays may establish general practices and limits concerning the use of the Service, including without limitation the maximum period of time that data or other content will be retained by the Service and the maximum storage space that will be allotted on InfiniPays's servers on your behalf. You agree that InfiniPays has no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded by the Service. You acknowledge that InfiniPays reserves the right to terminate accounts that are inactive for an extended period of time. You further acknowledge that InfiniPays reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.
Mobile Services:
The Service includes certain services that are available via a mobile device, including (i) the ability to upload content to the Service via a mobile device, (ii) the ability to browse the Service and the Site from a mobile device and (iii) the ability to access certain features through an application downloaded and installed on a mobile device (collectively, the "Mobile Services"). To the extent you access the Service through a mobile device, your wireless service carrier’s standard charges, data rates, and other fees may apply. In addition, downloading, installing, or using certain Mobile Services may be prohibited or restricted by your carrier, and not all Mobile Services may work with all carriers or devices. By using the Mobile Services, you agree that we may communicate with you regarding InfiniPays and other entities by SMS, MMS, text message, or other electronic means to your mobile device and that certain information about your usage of the Mobile Services may be communicated to us. In the event you change or deactivate your mobile telephone number, you agree to promptly update your InfiniPays account information to ensure that your messages are not sent to the person that acquires your old number.
2. Conditions of Use
User Conduct:
You are solely responsible for all code, video, images, information, data, text, software, music, sound, photographs, graphics, messages or other materials ("content") that you upload, post, publish or display (hereinafter, "upload") or email or otherwise use via the Service. InfiniPays reserves the right to investigate and take appropriate legal action against anyone who, in InfiniPays sole discretion, violates this provision, including without limitation, removing the offending content from the Service, suspending or terminating the account of such violators and reporting you to law enforcement authorities. You agree to not use the Service to:
Email or otherwise upload any content that; (i) infringes any intellectual property or other proprietary rights of any party; (ii) you do not have a right to upload under any law or under contractual or fiduciary relationships; (iii) contains software viruses or any other computer code, files, or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (iv) poses or creates a privacy or security risk to any person; (v) constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, "junk mail," "spam," "chain letters," "pyramid schemes," "contests," "sweepstakes," or any other form of solicitation; (vi) is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful racially, ethnically or otherwise objectionable; or (vii) in the sole judgment of InfiniPays, is objectionable or which restricts or inhibits any other person from using or enjoying the Service, or which may expose InfiniPays or its users to any harm or liability of any type;
Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service; or
Violate any applicable local, state, national, or international law, or any regulations having the force of law;
Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
Solicit personal information from anyone under the age of 18;
Harvest or collect email addresses or other contact information of other users from the Service by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;
Advertise or offer to sell or buy any goods or services for any business purpose that is not specifically authorized;
Further or promote any criminal activity or enterprise or provide instructional information about illegal activities; or
Obtain or attempt to access or otherwise obtain any materials or information through any means not intentionally made available or provided for through the Service.
To the extent permitted by applicable law, InfiniPays takes no responsibility and assumes no liability for any content or for any loss or damage resulting therefrom, nor is InfiniPays liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography, or profanity you may encounter when using the InfiniPays Services. Your use of the InfiniPays Services is at your own risk. In addition, these rules do not create any private right of action on the part of any third party or any reasonable expectation that the InfiniPays Services will not contain any content that is prohibited by such rules.
InfiniPays is not liable for any statements or representations included in the content. InfiniPays does not endorse any content, opinion, recommendation, or advice expressed therein, and InfiniPays expressly disclaims any and all liability in connection with the content. To the fullest extent permitted by applicable law, InfiniPays reserves the right to remove, screen, or edit any content posted or stored on the InfiniPays Services at any time and without notice, including where such content violates these Terms of Service or applicable law, and you are solely responsible for creating backup copies of and replacing any content you post or store on the InfiniPays Services at your sole cost and expense. Any use of the InfiniPays Services in violation of the foregoing violates these Terms of Service and may result in, among other things, termination or suspension of your rights to use the InfiniPays Services.
Fees:
To the extent the Service or any portion thereof is made available for any fee, you will be required to provide InfiniPays information regarding your credit card or other payment instrument. You represent and warrant to InfiniPays that such information is true and that you are authorized to use the payment instrument. You will promptly update your account information with any changes (for example, a change in your billing address or credit card expiration date) that may occur. You agree to pay InfiniPays all charges at the prices then in effect for any use of the Service by you or other persons (including your agents) using your Billing Account, and you authorize InfiniPays to charge your chosen payment provider for the Service. You agree to make payment using that selected payment method. If InfiniPays does not receive payment from your payment method provider, you agree to pay all amounts due on your Billing Account upon demand.
Data, Software, and Services:
All data, software, and services (collectively, "Services") provided by InfiniPays are intended solely for the personal use of its customers and may only be used in accordance with the terms of this Agreement. InfiniPays grants you a non-exclusive, non-transferable, revocable license to use the Services solely for your personal, non-commercial use. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by InfiniPays.
3. Intellectual Property Rights
The Service and its original content, features, and functionality are and will remain the exclusive property of InfiniPays and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of InfiniPays.

Our Service may contain links to third-party web sites or services that are not owned or controlled by InfiniPays.
InfiniPays has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. 6. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
8. Termination
InfiniPays may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms of Service. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service, or you may contact us to request account deletion where applicable.
9. Indemnification
You agree to defend, indemnify, and hold harmless InfiniPays, its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.
10. Limitation Of Liability
In no event shall InfiniPays, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

12. Exclusions
Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.
13. Governing Law
These Terms shall be governed and construed in accordance with the laws of your jurisdiction, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
